1.Introduction

1.1 Who we are

In this document, ‘we’, ‘us’, ‘our’ and ‘LIVE4WELL’ refers to Gymetaverse Co., Ltd. and its subsidiaries trading under the name ‘LIVE4WELL’, their related entities and corporate bodies.

1.2 Protecting your privacy

These Terms are a legal agreement between Gymetaverse Co., Ltd.; Airdoc Technology (HK) Limited (collectively “Airdoc” “our” and “we”) and you (also referred to as “your”) that governs the Airdoc Artificial Intelligence Imaging Center including all Updates (defined in Section 3 below), related documentation, and information and content provided by LIVE4WELL through the Airdoc Artificial Intelligence Imaging Center (“Platform”). If you are agreeing to these Terms on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in these terms, in which case the terms “you” and “your” shall refer to such corporate entity. If, after your acceptance of these Terms, LIVE4WELL finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in these Terms. LIVE4WELL shall not be liable for any loss or damage resulting from LIVE4WELL’s reliance on any instruction, notice, document or communication reasonably believed by LIVE4WEWLL to be genuine and originating from an authorized representative of your corporate entity.

LIVE4WELL’s Privacy Policy is available here and incorporated into these Terms. The Privacy Policy describes practices regarding the information that LIVE4WEWLL may collect from your usage of the Platform.

1. Account Registration. In order to use the features in the Platform you will need to register a user account (“Account”),or Or LIVE4WELL will provide you with a user account through an offline agreement with you. You agree to provide current, complete, and accurate Account information when you register for an Account, including your geographic region. You agree to keep your log-in information confidential and not authorize any third party to use it or your Account. You agree that we may attribute all use of your Account to you, and that you are responsible for all activities that occur under your Account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your Account, or any other breach of security. LIVE4WELL reserves the right in its sole discretion to refuse to keep Accounts for, or provide services to, any individual. LIVE4WWELL reserves the right to suspend or terminate your Account if any information provided during the registration process or at other times proves to be inaccurate, not current, or incomplete or if LIVE4WELL is notified of improper or illegal activities involving your Account.

2. Eligibility. You may use the Platform and LIVE4WELL’s services only if you have the legal capacity to form a binding contract with LIVE4WELL under applicable law. By agreeing to these Terms, you represent and warrant that you are (i) 18 years of age or older. Only individuals aged 18 and older are permitted to act as Owners of a LIVE4WELL Account. LIVE4WELL’s services and products are not available to any users previously prohibited by LIVE4WELL from using LIVE4WELL’s services and products. If you are under the age of 18, you must have your parent’s permission to access LIVE4WELL’s services and products.

3. Updates. If LIVE4WELL provides updates, supplements, or add-on components to any of the Platform after you download it (collectively, “Updates”), these Terms will apply to the Updates unless LIVE4WELL provides additional terms along with the Update (“Additional Terms”), in which case those Additional Terms will apply to the Update. You agree that LIVE4WELL may automatically check your version of the Platform, send Updates to the Platform, and require you to the use the most current version of the Platform.

4. License to Use of the Platform. Conditioned on your compliance with these Terms, LIVE4WELL grants you a limited, personal, non-exclusive and nontransferable license to upload your or your client's physical data to the Platform to obtain retinal health risk assessment reports and other services provided by LIVE4WELL.

5. License Restrictions. The license granted in Section 4 is conditioned on your compliance with the following:

1) You must not attempt to work around, disable, bypass, modify, or defeat any technical limitations in any of the Apps or to use any of the Apps in an attempt to, or in conjunction with any device, program or service designed to circumvent any security features or any technical measures employed to control access to, or the rights in, a content, file or other work;

2) You must not reverse engineer, decompile, decipher, disassemble or otherwise attempt to access source code of any of the Apps, except and only to the extent that applicable law expressly permits, despite this limitation;

3) You must not download or copy any of the Apps, except as expressly permitted in Section 4;

4) You must not rent, lease, lend, sell, sublicense, assign, distribute, publish, perform, display, broadcast, transfer, exploit, or otherwise make available any of the Platform or any features or functionality of any of the Platform to any third party for any reason, including by making any of the Platform available on a network where it is capable of being accessed by more than one device at any time;

5) You must not modify or make any derivative works of any of the Platform in whole or in part;

6) You must not remove any proprietary notices or labels on any of the Platform or any copy thereof;

7) Without the prior written permission of LIVE4WELL, you are prohibited from copying, reprinting, extracting, modifying, linking, mirroring, decompiling, disassembling, using structured data processing or otherwise displaying, disseminating or using the retinal health risk assessment report provided by LIVE4WELL for commercial purposes.

8) You must not make any use of any of the Platform or LIVE4WELL’s services in any manner not permitted by these Terms or the documentation;

9) You must use the Platform in compliance with all applicable laws. YOU MUST COMPLY WITH ALL LAWS WHEN USING the Platform .YOU ARE RESPONSIBLE FOR RESPECTING OTHER’S PRIVACY RIGHTS.

6. User Content. When you use LIVE4WELL’s Service, you need to fill in some of your personal information such as Name, age, gender, sign data (including visual acuity data, intraocular pressure data, symptoms, medical history, medication status and retinal photos) and so on(collectively, the “User Content”). Subject to the license that you grant to us in accordance with Section 6, you retain all rights to the User Content. You represent and warrant that you have all rights to grant us the license rights in your User Content under this Agreement. You also represent and warrant that neither your User Content, nor your use and provision of your User Content, nor any use of your User Content by LIVE4WELL on or through LIVE4WEWLL’s Service will: (i) infringe, misappropriate or violate any third party’s intellectual property rights, or rights of publicity or privacy; (ii) result in the violation of any applicable law or regulation; (iii) be obscene, defamatory, pornographic or otherwise offensive; (iv) promote violence, discrimination, racism, bigotry, hatred, harassment or harm against any individual or entity; or (v) promote any illegal or harmful activities or substances. You are solely responsible for all your User Content. LIVE4WELL may, in its sole discretion, modify or delete any of User Content.

By making any User Content available through LIVE4WELL’s Service, you hereby grant to LIVE4WELL a non-exclusive, irrevocable, perpetual, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, distribute, translate,your User Content, in whole or in part, in connection with (i) operating and providing the LIVE4WELL Service to you and to other users of the LIVE4WELL’s Service, and (ii) the creation of an anonymized, aggregate dataset which LIVE4WEWLL can use to improve the LIVE4WELL’s Service and which will not be personally identifiable to you, as an individual User. To the extent that any User Content constitutes Personal Information as defined in the Privacy Policy, our collection, disclosure and use of such User Content will be in accordance with our Privacy Policy.

7. Intellectual Property Rights. You acknowledge and agree that the Platform are provided under license, and not sold, to you. You do not acquire any ownership interest or other rights to the Platform other than the right to use the Platform in accordance with the license in Section 4.

LIVE4WELL’s services, content and reports are protected by copyright, trademark, and other laws of the United States and foreign countries. Except as expressly provided in these Terms, LIVE4WELL and its licensors exclusively own all right, title, and interest in and to the LIVE4WELL services and content, including all associated intellectual property rights. You must not remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying LIVE4WELL’s service or content. All trademarks, service marks, logos, trade names and any other proprietary designations of LIVE4WELL used herein are trademarks or registered trademarks of LIVE4WELL. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties.

8. Platform Availability and Support. LIVE4WELL does not guarantee availability of the LIVE4WELL or your Account, and your access is permitted only if and when they are available. Your use of any of the Apps and access to your Account may occasionally be restricted for service, upgrades, maintenance, or other reasons. To the maximum extent authorized under applicable law, Airdoc reserves the right to suspend your Account, your use of any of the Apps, and discontinue your access to Your Content provided or made available to you through the Apps at any time without notice. You agree that LIVE4WEWLL may use third-party technologies and service providers in the course of providing LIVE4WELL’s services to your account.

9. Termination. You may terminate your Account or your use of the Platform at any time. LIVE4WELL reserves the right to terminate your Account and these Terms and to suspend or terminate the Platform or your access thereto at any time if you fail to comply with any term(s) hereof. Sections 5-13 and 15-16 of these Terms will survive termination.

10. DISCLAIMER OF WARRANTIES. LIVE4WEWLL’S SERVICES, PLATFORM AND CONTENT ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. EXCEPT FOR THE LIMITED WARRANTY PROVIDED WITH ANY SERVICES YOU MAY PURCHASE, LIVE4WELL DOES NOT MAKE ANY OTHER AND DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS WITH RESPECT TO LIVE4WELL’S SERVICES, PLATFORM AND CONTENT, INCLUDING ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES AND CONDITIONS.

The retinal health risk assessment report provided by Platform is only advisory and for users' reference only. It cannot replace the advice of doctors or other medical staff and cannot be used as a basis for diagnosis, medication and medical treatment. LIVE4WELL does not guarantee the accuracy and completeness of all information. Whether the user uses the content of the retinal health risk assessment report is a personal behavior of the user, LIVE4WELL does not assume any responsibility that may arise.

11. DISCLAIMER OF CERTAIN DAMAGES. IN NO EVENT WILL LIVE4WELL BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING ANY DAMAGES TO OR FOR LOSS OF DATA OR PRIVACY, REVENUE, PROFITS, OR PROPERTY (INCLUDING BUILDINGS, WIRING, FIXTURES, DEVICES, COMPUTERS, PERIPHERALS, AND ANIMALS) OR FOR INJURY OR DEATH, ARISING FROM OR RELATING TO THESE TERMS, YOUR ACCOUNT, OR THE PLATFORM.

12. IMPORTANT CONSUMER NOTICE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DAMAGE LIMITATIONS SUCH AS THE LIMITATION OF LOSS OR LIABILITY FROM INTENTIONAL ACTS (INCLUDING FRAUD, FRAUDULENT MISREPRESENTATION, AND FAILURE TO DISCLOSE DEFECTS), PRODUCT LIABILITY, OR FOR DEATH OR PERSONAL INJURY. NOTHING IN SECTIONS 11, 12, OR 13 WILL BE INTERPRETED AS EXCLUDING LIABILITY WHICH CANNOT UNDER APPLICABLE LAW BE EXCLUDED. IF YOU LIVE OR ARE OTHERWISE SUBJECT TO THE LAWS IN ONE OF THOSE JURISDICTIONS ANY STATUTORY ENTITLEMENT AVAILABLE TO YOU WILL BE DEEMED LIMITED TO THE EXTENT (IF AT ALL) PERMISSIBLE UNDER THAT LAW AND, IF ANY LIMITATION IS NOT PERMITTED, THE EXCLUSIONS IN SECTION 11, 12, OR 13 MAY NOT APPLY TO YOU.

13. Notices. LIVE4WELL may give you all required notices (including legal process) by any lawful method, including by posting notices on the Platform or by sending it to any telephone number that you provide to LIVE4WELL. You agree to send LIVE4WELL notices by emailing them to: [email protected].

14. Modifications to these Terms. LIVE4WELL reserves the right to change these Terms at any time upon notice to you. You agree to periodically review these Terms for changes and you can review the most current Terms at any time at the Platform Updated Terms are binding on you as of the effective date indicated in our notice. If, at any time, you do not agree to the Terms, you must cancel your Account and stop using the Platform.

15. Governing Law. The validity and interpretation of this Agreement shall be governed by the laws of the People's HKSAR. In the absence of relevant legal provisions, reference may be made to international business practices and/or business practices.

Both the you and LIVE4WELL agree that any dispute arising from the Software shall first be settled informally through good faith consultations. If no settlement can be reached through such consultations, either you or LIVE4WELL may submit the dispute to the Haidian District People's Court of Beijing, People’s Republic of China.

16. General. If any provision of these Terms is determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions of these Terms will remain in full force and effect. You and LIVE4WELL intend that the provisions of these Terms be enforced to the fullest extent permitted by applicable law. Accordingly, you and LIVE4WELL agree that if any provision is deemed unenforceable, where possible, it will be modified to the extent necessary to make it enforceable, which may include its deletion. Section titles are only for convenience and have no legal or contractual significance. Any list of examples following "including" or "e.g.," is illustrative and not exhaustive, unless qualified by terms like "only" or "solely. Airdoc may assign these Terms, in whole or in part, at any time, with or without notice to you. You may not assign, transfer, or sublicense your rights, if any, in your Account, to any others , or under these Terms. If, at any time, LIVE4WEWLL fails to respond to a breach of these Terms by you or others, that failure will not waive LIVE4WELL’s right to act with respect to subsequent or similar breaches. A waiver will only be binding on LIVE4WELL if it is in writing and signed by LIVE4WELL. These Terms (including Additional Terms and any incorporated terms or policies) constitute the entire agreement between you and LIVE4WELL with respect to your Account and the Platform. Both you and LIVE4WELL warrant to each other that, in entering these Terms, neither LIVE4WELL nor you have relied on or will have any right or remedy based upon any statement, representation, warranty, or assurance other than those expressly stated in these Terms. The preceding sentence will not limit or exclude any liability that cannot be limited or excluded under applicable law. No one other than you and LIVE4WELL, or LIVE4WELL’s successors and permitted assigns, will have any right to enforce any of these Terms. The failure of LIVE4WWELL to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LIVE4WELL.

This Privacy Policy to provide details on how we manage your personal information for products and services provided by Gymetaverse Co., Ltd. (collectively “LIVE4WWELL” “our” and “we”). The types of personal information we may collect (directly from you or from third party sources) and our privacy practices depend on the nature of the relationship you have with us and the requirements of applicable law. Some of the ways that we may collect personal information include:

You may provide personal information directly to us through interacting with the products and services, and requesting services or information,such as name, age, gender, sign data (including visual acuity data, intraocular pressure data, symptoms, medical history, medication status and retinal photos), phone number and id card number.

We endeavor to collect only that information which is relevant for the purposes of processing.

TYPES OF INFORMATION COLLECTED

Information You Provide Directly to Us. When you use LIVE4WELL to create a service report form, you need to fill in some of your personal information. By means of your voluntary provision, we will collect the following information from you:

1）Name, age, gender, sign data (including visual acuity data, intraocular pressure data, symptoms, medical history, medication status and retinal photos), and LIVE4WEWLL will provide you with retinal health risk assessment report accordingly. If you refuse or mistakenly provide all or part of the above information, the accuracy of the LIVE4WELL analysis results will be reduced, and we will not be able to provide you with retinal health risk assessment services.

2）Mobile phone number, id card number or Email address, you can choose to provide one of them to us. We will send you the retinal health risk assessment report through the mobile phone number you provide, or you can search and inquire the retinal health risk assessment report through the LIVE4WELL id.

HOW THE PERSONAL INFORMATION IS USED

We acquire, hold, use and process personal information for a variety of business purposes including for providing services and / or products to you, to respond to information requested and to fulfill legal compliance on our part under applicable laws. We may also process and disclose personal information to our affiliated companies (which are in the communications, social media, technology and cloud businesses) and to our business partner for the purposes stated in this Privacy Policy.

To Provide Products, Services, or Information Requested. LIVE4WELL may use information about you to fulfill requests for products, Services, or information, including information about potential or future Services, including to:

1）Providing, processing, maintaining, improving and developing our goods and/or services to you, including after-sales and customer support and for services on your device.

2）Analyzing and developing statistical information on the use of our products and services to better improve our products and services.

3）Storing and maintaining information about you for our business operations or legal obligations.

Administrative Purposes. We may use Personal Information about you for administrative purposes, including to:

1）Measure interest in our services;

You should know that when LIVE4WELL shares your personal information with a third party under any circumstance described in this section, LIVE4WELL will contractually specify that the third party is subject to practices and obligations to comply with applicable local data protection laws. LIVE4WELL will contractually ensure compliance by any third party with the privacy standards that apply to them in your home jurisdiction.

ONWARD TRANSFER: SHARING WITH OUR GROUP, THIRD PARTY SERVICE PROVIDERS AND OTHERS

In order to conduct business operations smoothly in providing you with the full capabilities of our products and services, we may disclose your personal information from time to time to other LIVE4WELL affiliated companies. We may also share your information as described in this Privacy Policy with the third party to comply with legal obligations.

Business Partners. We may share Personal Information with our business partners, and affiliates for our and our affiliates’ internal business purposes or to provide you with a product or service that you have requested. We may also provide personal information to business partners with whom we may jointly offer products or services, or whose products or services we believe may be of interest to you. In such cases, our business partner’s name will appear, along with us. We requires our affiliates and business partners to agree in writing to maintain the confidentiality and security of personal information they maintain on our behalf and not to use it for any purpose other than the purpose for which we provided them.

We may access, preserve, and disclose your personal information, other account information, and content if we believe doing so is required or appropriate to: (i) comply with law enforcement or national security requests and legal process, such as a court order or subpoena; (ii) respond to your requests; (iii) protect yours’, ours’ or others’ rights, property, or safety; (iv) to enforce our policies or contracts; (v) to collect amounts owed to us; (vi) when we believe disclosure is necessary or appropriate to prevent physical harm or financial loss or in connection with an investigation or prosecution of suspected or actual illegal activity; or (vii) if we, in good faith, believe that disclosure is otherwise necessary or advisable.

Merger, Sale, or Other Asset Transfers. If Airdoc is involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, transition of service to another provider or asset sale of all or a portion of our assets, then your information may be sold or transferred as part of such a transaction as permitted by law and/or contract. You will be notified via email and/or a prominent notice on our website of any changes in ownership, uses of your personal information, and choices you may have regarding your personal information. Airdoc will endeavor to direct the transferee to use personal information in a manner that is consistent with the Privacy Policy in effect at the time such personal information was collected.

SECURITY SAFEGUARDS LIVE4WELL’S SECURITY MEASURES

We are committed to ensuring that your personal information is secure, and we will take all practicable steps to safeguard your personal information. However, you should be aware that the use of the Internet is not entirely secure, and for this reason we cannot guarantee the security or integrity of any personal information which is transferred from you or to you via the Internet.

In order to prevent unauthorized access, disclosure or other similar risks, we have put in place reasonable administrative, technical and physical controls and procedures to safeguard and secure the information we collect from your using of LIVE4WELL’s products and services and on LIVE4WELL websites. We will use all reasonable efforts to safeguard your personal information.

All your personal information is stored on secure servers that are protected in controlled facilities. We classify your data based on importance and sensitivity, and ensure that your personal information has the highest security level. We make sure that our employees and Third Party Service Providers who access the information to help provide you with our products and services are subject to strict contractual confidentiality obligations and may be disciplined or terminated if they fail to meet such obligations. We have special access controls for cloud based data storage as well. All in all, we regularly review our information collection, storage and processing practices, including physical security measures, to guard against any unauthorized access and use.

By using our products and services or providing personal information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on the website or through the product or service and/or by sending an e-mail to you. You may have a legal right to receive this notice in writing.

WHAT YOU CAN DO

You can play your part in safeguarding your personal information by not disclosing your login password or account information to anybody unless such person is duly authorized by you. Whenever you log in, particularly on somebody else's computer or on public Internet terminals, you should always log out at the end of your session.

LIVE4WWELL cannot be held responsible for lapses in security caused by third party accesses to your personal information as a result of your failure to keep your personal information private. Notwithstanding the foregoing, you must notify us immediately if there is any unauthorized use of your account by any other Internet user or any other breach of security.

Your assistance will help us protect the privacy of your personal information.

OPT-OUT (RIGHT TO RESTRICT PROCESSING)

You have the right to opt out of certain uses and disclosures of your personal information. Where you have consented to LIVE4WELL’s processing of your personal information or sensitive personal information, you may withdraw that consent at any time and opt-out to further processing by contacting LIVE4WELL. In order to provide our services to you, we will ask you to provide personal information that is necessary to provide those services to you. If you do not provide your personal information, we may not be able to provide you with our products or services. Even if you opt-out, we may still collect and use non-personal information regarding your activities on our websites.

RETENTION POLICY

LIVE4WELL retains personal information we receive as described in this Privacy Policy for as long as you use our products, services and websites or as necessary to fulfill the purpose(s) for which it was collected, provide our services, resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws.

ACCESS, UPDATING, CORRECTING OR ERASURE YOUR PERSONAL INFORMATION

You have the right to request access to and/or correction of any other personal information that you have provided that we hold about you. When you update your personal information, you will be asked to verify your identity before we proceed with your request.
